Position summary:

The Legal and Compliance Coordinator provides critical support to the General Counsel and supports the activities of the Legal team. S/he will also work closely with, and provide support to, the Finance & Administration business unit. S/he oversees and administers the organizational compliance systems and processes used to ensure that Rainforest Alliance (RA) and its subsidiaries, branches and other affiliates are in compliance with corporate requirements. S/he supports special projects, including merger and integration processes. S/he acts as a coordinator and supports the General Counsel with respect to board meetings. S/he manages and updates Legal templates and performs basic contract review. S/he supports litigation and document management. S/he is highly organized, detail-oriented, motivated, and a self-starter, able to work well both as part of a team and independently, with minimal day-to-day supervision in a fast-paced, unstructured environment. Please note that this is not an attorney position and will not require travel.


  • Manage and administer corporate registration and filing requirements for RA subsidiaries, branches and other affiliates, including US state registrations;
  • Support merger and integration processes by organizing and/or managing project-specific teams as required, including creation of timelines and revision of documents;
  • Coordinate Audit & Risk Committee meetings including: agenda preparation, logistics, gathering, organizing and/or preparing materials and presentations, attending meetings, and taking minutes;
  • Prepare and/or assist in compilation of Legal team Board materials and resolutions, and coordinate approvals and signatures of documents;
  • Manage contract templates, including assisting in creating and updating templates, and facilitating roll-out of new or revised templates;
  • With direction from a supervising attorney, review and negotiate basic confidentiality and other agreements, and draft correspondence; coordinate approvals and signatures of documents as necessary and confirm final versions of agreements;
  • Assist in the research and renewal of organizational insurance policies. Serve as point of contact on general questions regarding RA insurance policies and liaise with RA’s insurance broker; and maintain liability, E&O, and D&O insurance database;
  • Generate, manage, and maintain correspondence, reports, filings, and other documents and assist with responses to governmental audits, courts, agencies, insurers and others;
  • Support annual audit and Form 990 information requests;
  • Assist with opening and managing bank accounts;
  • Manage Legal SharePoint site and dashboards;
  • Manage outside counsel database for tracking purposes and organizing invitations and other communications;
  • Manage trademark filings and database;
  • Provide training on policies and procedures, including on compliance and roles and responsibilities; and
  • Other duties as assigned.


  • Bachelor’s degree from a four-year college or university;
  • Minimum 2 years’ experience in a professional work environment preferred;
  • Proficient in Microsoft Word, Excel, Outlook and PowerPoint;
  • Demonstrated excellent writing and verbal communications skills;
  • Verbal and written language proficiency in Spanish a plus;
  • Excellent organizational and time-management skills, accuracy, and attention to detail;
  • Must have the ability to multitask and set priorities to meet deadlines;
  • Must demonstrate initiative and responsibility, and possess the ability to work both independently and as part of a cross-functional team, in a fast-paced environment;
  • Professional and friendly demeanor with strong customer service skills;
  • Dependability, diplomacy, and a sense of humor are necessary; and
  • Ability to work in a multicultural and diverse environment.
